Incorporating a company – make the right start

There are a handful of ways to incorporate a company including using a solicitor, going through a company formation service provider, purchasing a shelf company or even applying direct at Companies House.

Why use a solicitor to incorporate a company?

At Bolt Burdon, we have years of experience in areas such as corporate, commercial, real estate, wills, private equity, probate, property disputes and enfranchisement. We can understand your situation and provide the best advice.

You may be looking at incorporating a company for many reasons, such as:

  • Starting a new business
  • Purchasing a property
  • Property management / enfranchisement / right to manage
  • Investment purposes

With us, you can discuss the best approach, including using different classes of shares and bespoke articles of association. Other service providers may not be in a position to invest time into getting to know you and your needs. Your options with them may be limited to one share class and the model articles of association – this may fulfil your purpose but it may be that you would benefit from something more tailored to your specific requirements. Getting it right at the start can save you time and costs later on.

Within your bespoke articles of association, we can introduce specific rules for approving changes, processes for share transfers, directors’ powers, voting rights, dividends and more. For certain types of companies, such as Right to Manage companies, there are regulatory requirements for the contents of the articles.

We take the time to understand your priorities and reasons for setting up a company.

We provide registered office services for your company

In addition to incorporating a company, you have the option of subscribing for our registered office service. This will allow you to use our office address as the official address for sending correspondence to the company, its directors and its PSCs.

As part of this service, we will forward any incoming post to you by email, send you reminders for your annual accounts filings, and complete your confirmation statement filing with your authorisation.

If you do not already have company registers, we can assist in creating new registers for you.

Please feel free to reach out and we can discuss the best way to help you. If you have any questions relating to new or existing companies, please contact our Corporate & Commercial team.
